 TERMS OF SERVICE

Village Postnatal Retreat Center LLC (referred to as "VPRC") is pleased to offer exclusive access to its newest offering, the Postnatal Retreat Center, San Francisco/Bay Area. By confirming that you have read and agree to these terms, you hereby are agreeing to become a Client / Guest of VPRC and abide by the following Terms of Service (“ToS”).

1. Role of Postnatal Support Provider

VPRC agrees to provide postnatal support services to Client as described below. VPRC will utilize their knowledge and experience to offer emotional support, physical comfort, evidence-based information, and collaborate with other staff members. The goal is to ensure a positive postpartum experience and assist in the recovery process.

2. Description of Services

2.1 The postnatal support services provided by VPRC include:

    Emotional support and perspective to the Client and their partner.
    Suggestions and guidance for postpartum recovery.
    Relaxation techniques, massages, and guidance for healthy nutrition.
    Assistance in achieving a positive postpartum experience.
    Availability of New Parent Concierge for questions and suggestions.
    Assist in learning to care for the baby, prepare for milestones, recognize infant cues and adjustments, and provide support throughout the Retreat.
    The doula will not perform clinical tasks, medical assessments, evaluations, or provide
    medical advice or diagnoses for the baby. It is the Client’s responsibility to consult with a qualified healthcare provider for any medical concerns regarding themselves or their baby.

2.2 Prior to arrival at VPRC, the birthing person and baby must be discharged from medical care. A minimum of 72 hours' notice prior to arrival is required. Check-in dates will be determined based on room availability and Client preferences. Additional dates may be added, subject to room availability.

2.3. VPRC will also provide the following exclusive services:

    In the event that the Client specifically desires a particular room type (e.g. Double Room Suite or 1 Bedroom Suite) and it is not currently available at the Retreat Center, it may be possible for the Client to move into the room of their choice when it becomes available during their stay.
    Herbal Foot Soaks with Leg Massage Boots.
    In-Room Amenities: Wi-Fi, Coffee, tea, and snacks will be provided in the room for the duration of the stay.

    Breastfeeding Support: Client will have access to breastfeeding pillows during their stay.
    Welcome Basket: A customized welcome basket will be provided to the Client upon arrival.
    Baby Care: Client will have access to deluxe baby bassinets for the duration of the stay.
    Diapers and Wipes: Compostable diapers and wipes will be stocked in the room for the
    Client's convenience.
    New Parent Lounge and Business Center: Client will have access to the New Parent Lounge during their stay.
    Baby Lounge: The Baby Lounge will be available to the Client, equipped with a personal
    "baby cam" for monitoring purposes.
    Lactation Support: On-site professional lactation visits will be provided by VPRC.

The above services are included in the Retreat Center stay and are subject to the ToS of this Agreement. Any additional services requested by the Client may incur extra charges as outlined in this Agreement.

3. Reservations and Retainers

3.1 Retainer Fee: To secure a spot at the Retreat Center, the Client agrees to pay a non-refundable retainer fee that is equivalent to 1/3 of the total amount of nights in your stay. The remaining balance will be charged at the time of your welcome call (appx. 4 weeks before your due date) for the remaining nights and any add-on amenities you requested. Any discounts or promotions will be applied to the invoice for your remaining balance.

3.2 Booking Deadline: Failure to book the agreed upon total nights of your stay within 8 weeks of the postpartum period will render the retainer fee non-refundable.

3.3 Refunds: Refunds will be granted solely under the following conditions: (a) in the unfortunate event of a nonviable pregnancy, upon submission of valid medical documentation supporting such claim; or (b) in cases where unforeseen circumstances render the Client’s reserved room unavailable, and VPRC are unable to provide alternative accommodations.

3.4 VPRC will request a credit card to be put on hold during the stay for unforeseen incidentals, and a 3% fee will be applied if the card is used for charges.

3.5 VPRC will provide an itemized list of services upon completion of the stay. Clients are encouraged to submit this list to their insurance company or employee benefits program. Reimbursement is not guaranteed.

3.6 The Client acknowledges that in certain circumstances, due to unforeseen circumstances or an overflow of guests, there may be a possibility of room assignments beyond the control of VPRC. VPRC will make every effort to book the dates requested, however, there is no guarantee of being accommodated on the preferred dates. Room assignments are subject to change at the discretion of VPRC without prior notice.

3.7 VPRC reserves the right to modify room assignments and make necessary changes to ensure optimal accommodation and service delivery. The Client understands and agrees that such changes are made in good faith and are aimed at providing the best possible experience during their stay with VPRC.

3.8 VPRC reserves the right to refuse service to any individual. In the event of such refusal, unless the client has violated the code of conduct, they will be entitled to a refund.

3.9 A booking transaction fee of 5% will be added to the invoice for all services and room reservations. This fee is non-refundable.

4. Additional Optional Fees

4.1 Chef-Prepared Postpartum Meal Package - $100/day: 1 meal plan is included in the stay

    Breakfast, lunch, and dinner prefix meals are prepared and delivered to the room to aid in healthy recovery after giving birth.

4.2 Chef Prepared Meal for 1 Additional Person - $100/day:

    Healthy breakfast, lunch, and dinner prefix meals are prepared and delivered to the room.

4.3 Spa Treatments (based on availability)

    Full body 1 hour therapeutic massage - $225
    Postnatal Delux Facial with neck and arm massage- $200
    Healing Acupuncture Treatment- $290


5. Incidentals - Hotel Charges

Client will be required to provide a credit card to VPRC during check-in to cover any damages to the room, or furniture, irrespective of whether it's caused by the cardholder or their guest.  'Damages' can include, but are not limited to, breaking, staining, rips or tears, and strong, stubborn smells. Any stolen property can also be covered by the credit card on reserve.

6. Duties of Postnatal Support Provider

6.1 Non-Medical Support: VPRC agrees to provide non-medical physical, emotional, and informational support to the Client after the birth of the baby. We do our best to accommodate changes to your check in date based on your baby’s arrival. In the event that we do not have a room available due to high occupancy, we will work with you to find a suitable alternative check in date that is as close to your anticipated check in as possible.

6.2 New Parent Support Groups and Education: VPRC will conduct on-site New Parent support groups and provide hands-on education to the Client.

6.3 Self-Care and Recovery: VPRC will assist the birthing parent in their self-care, recovery, and postpartum comfort measures.

6.4 Feeding and Baby Care: VPRC will aid the Client in learning to feed and care for the baby, recognizing cues, and making necessary adjustments as needed.

6.5 Professional Boundaries: VPRC will maintain professional boundaries while providing warm and sincere support to the family.

6.6 Resources for Positive Postnatal Experience: VPRC will provide resources to facilitate a positive postnatal experience for the Client.

7. Code of Conduct Provision: Respectful Behavior Towards Guests and Staff

As a valued client, we expect you to uphold a high standard of conduct and treat other guests, retreat center staff, and service providers with respect and courtesy. This provision outlines the expected behavior and guidelines for maintaining a harmonious and inclusive environment for everyone involved. By adhering to this provision, you contribute to creating a positive and inclusive environment for all guests and staff. Let's work together to ensure a pleasant and respectful experience for everyone involved.

7.1 Respectful Treatment: Treat all guests, retreat center staff, and service providers with dignity, kindness, and respect. Avoid any form of discrimination, harassment, or derogatory language based on race, gender, religion, nationality, age, disability, or any other characteristic.

7.2 Considerate Behavior: Be mindful of the shared spaces and facilities within the retreat center. Keep noise levels reasonable, respect others' privacy, and maintain cleanliness and orderliness in common areas. Follow any specific rules or guidelines provided by the retreat center management.

7.3 Communication: Engage in clear and respectful communication with fellow guests, retreat center staff, and service providers. Express your needs and concerns in a calm and constructive manner, allowing for open dialogue and understanding. Avoid confrontational or aggressive behavior.

7.4 Personal Boundaries: Respect the personal boundaries and privacy of other guests, retreat center staff, and service providers. Obtain consent before entering someone's personal space or engaging in personal conversations or interactions.

7.5 Compliance with Policies: Familiarize yourself with and adhere to the policies, rules, and regulations set forth by the Retreat Center. These may include guidelines related to safety, health, smoking, alcohol consumption, and any other specific regulations in place.

7.6 Reporting Concerns: If you witness any behavior that violates this code of conduct provision or have any concerns regarding other guests or staff, promptly report it to the retreat center management. Provide necessary details and evidence to support your report while maintaining confidentiality whenever possible.

7.7 Consequences for Violations: Failure to comply with this code of conduct provision may result in appropriate actions by the retreat center management, which can include warnings, restrictions, temporary or permanent removal from the premises, or legal recourse if necessary. Furthermore, it is explicitly stated that in the event of a violation of the code of conduct by the Client, no refunds will be issued.

8. On-Site Video and Recording

8.1 Standard Practice: The Client acknowledges and agrees that, when outside of their private room, they may be subject to video, audio, or other media recordings during their stay at the Retreat Center; as such recordings contribute to the overall security and safety measures implemented by the Retreat Center.

8.2 Recording Methods: Such recordings may include, but are not limited to, footage captured through baby monitors, lounges, or other areas of the Retreat Center.

8.3 The Client further acknowledges that the Retreat Center ensures security measures by providing surveillance and monitoring systems for the safety and well-being of all guests.

9. COVID-19 Provision

The inclusion of this COVID-19 provision reflects the shared responsibility of the Retreat Center and the Client in maintaining a safe environment and preventing the spread of the virus.

9.1 Health and Safety Measures: Both the Retreat Center and the Client are committed to prioritizing the health and safety of all individuals involved. In light of the ongoing COVID-19 pandemic, the following provisions shall apply:

9.2 Reporting Illness: The Client agrees to promptly inform the Retreat Center if they or any member of their party become ill, exhibit symptoms related to COVID-19, or test positive for the virus.

9.3 Stay-at-Home Policy: In the event that the Client or any member of their party is ill or experiencing symptoms of COVID-19, they agree to refrain from visiting the Retreat Center and to follow the recommended guidelines for self-isolation and seeking appropriate medical attention.

9.4 Cooperation and Flexibility: The Retreat Center will make reasonable efforts to accommodate changes or rescheduling in the event of illness or COVID-19-related concerns. The Client agrees to communicate openly and promptly with the Retreat Center regarding any health-related circumstances that may impact their stay.

9.5 Compliance with Health Guidelines: The Client acknowledges and agrees to comply with any health and safety guidelines, protocols, or regulations implemented by the Retreat Center, local authorities, or public health agencies to prevent the spread of COVID-19.

9.6 Assumption of Risk: The Client acknowledges that despite the Retreat Center's diligent efforts to implement health and safety measures, there is an inherent risk of exposure to COVID-19 during their stay. The Client voluntarily assumes this risk and agrees not to hold the Retreat Center liable for any illness or injury related to COVID-19.

10. Exclusions

10.1 VPRC will not perform clinical tasks, medical assessments, evaluations, or provide medical advice or diagnoses for parents or babies. The support services offered by VPRC do not replace medical care.

10.2 VPRC does not provide transportation for me, my baby, or my family. It is the Client’s responsibility to arrange for transportation to and from the Retreat location.

10.3 VPRC does not assume sole care of the baby. However, the baby can be cared for in the on- site Baby Lounge while the Client rests, showers, takes a walk, eats, or spends time with their partner.

11. Assumption of Risk and Liability:

11.1 I acknowledge that certain events and circumstances during the Retreat may be outside the control of VPRC. These events include, but are not limited to, incidents occurring at the Retreat venue, travel-related issues, and unforeseen situations beyond the control of the company.

11.2 I understand and agree that VPRC, its staff, contractors, and affiliates shall not be held responsible or liable for any harm, injury, loss, or damage to me, my baby, or my family resulting from events or circumstances that are beyond their control.

11.3 I understand that VPRC does not provide any guarantees or warranties regarding the outcome of the Retreat or the services provided.

11.4 I accept full responsibility for any risks and dangers associated with my participation in the Activities, including personal injury, property damage, or loss. I acknowledge that there may be additional risks involved, such as encounters with recreational activities, limited access to medical attention, mental distress, and negligence of others.

11.5 I assume all risks associated with participating in the Retreat and hereby release VPRC, its staff, contractors, and affiliates from any and all claims, liabilities, demands, actions, or causes of action arising out of or related to any such incidents or circumstances.

WAIVER: TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, YOU KNOWINGLY, VOLUNTARILY, AND FREELY ASSUME ALL RISKS, BOTH KNOWN AND UNKNOWN, OF PARTICIPATING IN THIS RETREAT AND EACH SERVICE OFFERED, INCLUDING EACH SERVICE PROVIDED BY THE PROPERTY, EVEN IF THOSE RISKS ARISE FROM THE NEGLIGENCE OR CARELESSNESS OF THE HOST OR OTHERS, OR DEFECTS IN THE EQUIPMENT, PREMISES, OR FACILITIES USED DURING THE RETREAT, OR OTHERWISE, AND YOU ASSUME FULL RESPONSIBILITY FOR PARTICIPATION IN THE RETREAT.

DISCLAIMER: VPRC (THE COMPANY) AND ANY OF ITS MEMBERS, EMPLOYEES, INDEPENDENT CONTRACTORS, AGENTS, TRAINERS, COACHES, TEACHERS, INSTRUCTORS, OR AIDES (THE “RELEASED PARTIES”) PROVIDING ANY SERVICES AS PART OF THE RETREAT, ARE NOT RESPONSIBLE FOR ANY INJURY (OR LOSS OF PROPERTY) SUFFERED BY ANY PERSON WHO IS TAKING OR HAS RECEIVED INSTRUCTION OR TRAINING RELATED TO YOUR LATER PERFORMANCE OF OR ADHERENCE TO THAT INSTRUCTION OR TRAINING.

12. Force Majeure

12.1 Force Majeure Event: Neither party shall be liable for any failure or delay in performing its obligations under this Agreement when such failure or delay is due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, acts of terrorism, government regulations, strikes, or other labor disputes (each, a "Force Majeure Event").

12.2 Notice and Mitigation: In the event of a Force Majeure Event, the party affected by such event shall promptly notify the other party in writing of the occurrence and its anticipated impact on the performance of this Agreement. The affected party shall use reasonable efforts to mitigate the effects of the Force Majeure Event and resume its obligations under this Agreement as soon as reasonably practicable.

13. Dispute Resolution

13.1 Mediation Prior to Litigation: The parties agree that any dispute or disagreement arising from or relating to this Agreement shall first be submitted to mediation, except in cases involving nonpayment where the dispute is within the jurisdiction of a small claims court. Mediation is a voluntary and non-binding process aimed at resolving disputes in a cooperative and amicable manner.

13.2 Responsibility for Attorney Fees: In the event of any dispute or legal action arising from this Agreement, the prevailing party shall be entitled to recover reasonable attorney fees, court costs, and any other expenses incurred in relation to such dispute or legal action.

13.3 Governing Law and Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of California; and any disputes arising from or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts of San Francisco, CA.
